Nabarro advises new client NSF International on two acquisitions

Law firm Nabarro has advised new client NSF International on two acquisitions, the first of Checkmate International Plc (CMi) and the second of David Begg Associates Limited.
NSF International is a non-profit organisation based in the United States. They are a world leader in food safety, standards development, product certification, education and risk-management for public health and safety working in the US and in 100 countries worldwide.
CMi is a UK leader in food safety assurance working through out the food supply chain and offering consulting, supply chain management, certification and inspection services to governments, executive agencies, retailers, catering and leisure operators. The acquisition was a takeover for an un-listed plc, subject to The City Code on Takeovers and Mergers.
David Begg Associates Limited has an international reputation in the field of pharmaceutical quality management, regulatory compliance and training.
For the CMi acquisition the team at Nabarro was led by corporate partners Andrew Inkester and Andrew Wigfall, with specific input by Duncan Milne, Sinead Garcia and Ben Williams from the corporate team, William Santer from employment, and Graham Muir for share options. They were also assisted by Els Janssens (Corporate), Victoria Lee (Pensions), Toby Cummins (IP), Tracey Sheehan (IT), Philip Anderson (Tax), Muireann O’Dochartaigh (Property), and David Chamberlain (Banking).
Seneca Partners acted as financial advisers to NSF International, and Grant Thornton as accountants. Law firm Osborne Clark advised CMi. Soditic Limited was CMi’s financial advisor.
On the David Begg Associates Limited acquisition the corporate team at Nabarro was led by Andrew Inkester, assisted by Elizabeth Moynihan and Duncan Milne. David Begg Associates was advised by Walker Morris.
