Law firm Nabarro has advised new client Heineken International BV on a complex three-way joint venture involving certain key brands in South Africa.
Heineken, Diageo PLC and Namibia Breweries have announced a joint venture for their combined beer, cider and ready-to-drink (RTD) beverage businesses in South Africa, to be called DHN Drinks. Heineken and Diageo have also announced a new joint venture to build a Greenfield brewery in Gauteng province, South Africa to produce certain products for the new joint venture company, including Amstel, Heineken and certain RTDs. The transaction is expected to complete on 30 April 2008.
The team at Nabarro was led by corporate partner Patrick Speller assisted by associate Paul Gordon. Diageo was advised by Addleshaw Goddard LLP. Cliffe Dekker and Webber Wentzel Bowens provided South African legal advice to the parties.
